Terms of Service

1. Scope and Acceptance

These Terms govern your use of services operated by 520 Management LLC, including The Ave Live, Reserve, Creators, Challenges, Merch, Reach, and Recruit, together the Services. By accessing a Service, creating an account, making a purchase or reservation, submitting content, entering a challenge, or participating in the ambassador program, you agree to these Terms.

Service-specific policies, including the Ticket Policy, Challenge Rules, reservation terms, and ambassador agreements, supplement these Terms. If a service-specific policy conflicts with these Terms, that policy controls for the applicable Service.

2. Eligibility, Accounts, and Acceptable Use

You must provide accurate information and safeguard your login credentials, verification codes, reservation links, and access passes. You may not use the Services for fraud, unauthorized access, automated scraping, resale that violates an applicable policy, impersonation, unlawful conduct, or interference with another person's access.

We may suspend or terminate access where we reasonably believe these Terms or applicable law have been violated.

3. Purchases, Reservations, and Third Parties

DICE is the merchant of record for ticket purchases made through DICE. Reserve bookings, Merch purchases, and other Services may have their own payment, cancellation, and refund terms. Third-party platforms and processors may have their own terms and privacy policies, which apply to their services.

We are not responsible for third-party outages, acts, omissions, or policies, except where responsibility cannot be disclaimed under applicable law.

4. Content and Community Standards

If you submit photos, videos, feedback, applications, or other content, you confirm that you have the rights needed to submit it and that it does not violate law or another person's rights. You grant 520 Management LLC a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and use the submitted content to operate, administer, and promote the applicable Service, subject to the Privacy Policy and any Challenge Rules.

We may remove content or disqualify an entry that is unlawful, unsafe, deceptive, infringing, hateful, harassing, or inconsistent with applicable rules.

5. Disclaimers

To the fullest extent permitted by law, the Services are provided on an as-is and as-available basis. We do not guarantee uninterrupted, error-free, secure, or available Services, or the delivery of every message, notification, ticket, or reservation communication.

6. Limitation of Liability

To the fullest extent permitted by law, 520 Management LLC and its members, officers, employees, contractors, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill arising from the Services. Our total aggregate liability for a claim will not exceed the greater of $100 or the amount you paid directly to us for the Service giving rise to the claim in the 12 months before the claim. Nothing in these Terms limits liability that cannot lawfully be limited.

7. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless 520 Management LLC and its members, officers, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, unlawful conduct, submitted content, or violation of another person's rights.

8. Governing Law and Changes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Any dispute not subject to an enforceable alternative dispute process must be brought in the state or federal courts located in Philadelphia County, Pennsylvania. We may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance where permitted by law.
